• Failure to maintain valid payment information may result in suspension or termination of Services.

6. Use of Services

You agree not to use our Services to:

• Violate any applicable law or regulation.
• Misuse data, intellectual property, or proprietary materials.
• Harass, exploit, or harm employees, contractors, or candidates provided through Heart Craft Media.
• Introduce malware, automated bots, or unauthorized data-scraping tools.

We reserve the right to monitor compliance and suspend accounts that violate these rules.

7. Talent Engagement

• All candidates remain subject to verification and background checks.
• You agree not to circumvent Heart Craft Media by engaging talent directly without a written agreement.
• You are solely responsible for managing your employment obligations (taxes, compliance, etc.) unless otherwise agreed in writing for managed services.

8. Intellectual Property

All intellectual property rights in our platform, processes, and materials remain the exclusive property of Heart Craft Media. You may not reproduce, distribute, or create derivative works without our prior written consent.

9. Privacy & Data Protection

We collect, store, and process information in accordance with our Privacy Policy.

By using our Services, you consent to the transfer and storage of your data in the United States and other jurisdictions where we operate.

We do not sell personal data to advertisers.

10. Disclaimers

11. Limitation of Liability

To the maximum extent permitted by law:

• Heart Craft Media will not be liable for indirect, incidental, or consequential damages (including loss of profits, data, or business opportunities).
• Our liability in any case will not exceed the total fees paid to Heart Craft Media in the 12 months preceding the claim.

12. Termination

We may suspend or terminate Services at any time if you:

• Breach these Terms.
• Fail to pay required fees.
• Engage in conduct that damages our reputation or violates applicable laws.

Termination does not entitle you to a refund.

13. Governing Law & Dispute Resolution

• These Terms are governed by the laws of South Carolina, USA, excluding conflict-of-law rules.
• Disputes will be resolved through binding virtual arbitration under the CPR Non-Administered Arbitration Rules.
• Arbitration will be conducted in English.

If parties cannot agree on an arbitrator, one will be appointed at random from nhmediators.org.

14. Severability & Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce any provision is not a waiver of rights.

15. Modifications

We may update or revise these Terms at any time. Material changes will be communicated with at least 30 days’ notice, unless immediate changes are required by law. Continued use of the Services after the effective date constitutes acceptance.
